Terms of Service

1. Acceptance of terms
These Terms of Service (“Terms”) govern your access to and use of Daiahn (the “Service”), provided by Daiahn, Inc. (“we,” “us,” or “our”). By accessing or using the Service, or by clicking to accept these Terms, you agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
Daiahn is enterprise agent-intelligence software that reads AI-agent session traces and produces analytics, including exports in the open Jupyter nbformat standard. Features, tiers, and availability may change as the Service evolves. Some features are local-first and operate within your own environment.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it current. Notify us promptly of any unauthorized use.
4. License & restrictions
Subject to these Terms and any applicable order, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes. You agree not to:
- Reverse engineer, decompile, or attempt to derive source code, except as permitted by law;
- Resell, sublicense, or provide the Service to third parties except as expressly permitted;
- Use the Service to violate any law or infringe any third party’s rights; or
- Interfere with or disrupt the integrity or performance of the Service.
5. Customer data
As between the parties, you retain all rights to data you process with the Service (“Customer Data”). Because Daiahn is local-first, agent-trace data is processed within your environment unless you opt in to a cloud feature. You grant us a limited license to process Customer Data only as necessary to provide the Service and as described in our Privacy Policy. You are responsible for ensuring you have the rights to process the data you use with the Service.
6. Third-party services
The Service may interoperate with third-party tools and large-language-model providers. Your use of those services is governed by their terms, and we are not responsible for them. Any content you choose to transmit to a third-party provider is subject to that provider’s terms and policies.
7. Fees & payment
Paid tiers are billed according to the plan or order you select. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and due in advance. We may change pricing on a going-forward basis with reasonable notice.
8. Intellectual property
The Service, including its software, design, and trademarks (including “Daiahn”), is owned by Daiahn, Inc. and protected by intellectual-property laws. Outputs rendered in the open nbformat standard belong to you as Customer Data; no rights in the underlying Service software are transferred to you.
9. Confidentiality
Each party may receive confidential information from the other. The receiving party agrees to protect such information with reasonable care and to use it only to perform under these Terms, except where disclosure is required by law.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Daiahn, Inc. and its affiliates from claims arising out of your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law.
13. Term & termination
These Terms remain in effect while you use the Service. We may suspend or terminate access for breach of these Terms. Upon termination, your right to use the Service ends; sections intended to survive (including ownership, disclaimers, limitations of liability, and confidentiality) will survive.
14. Governing law
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware, except where prohibited by applicable law.
15. Changes to these terms
We may update these Terms from time to time. We will post the updated version with a revised “Last updated” date and, where material, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance.
